C. Elizabeth Jones
Beth Jones practices in the areas of commercial and residential real estate, contracts and business law. She negotiates the business and legal terms of various types of contracts, including those related to the purchase, sale and leasing of real property, personal property/assets and ongoing business concerns. Ms. Jones represents purchasers, sellers and developers in all stages of real estate acquisition, divestiture and development, including contract negotiation, due diligence review, title clearance, zoning and land use matters, drafting title opinion letters, construction law and lien matters through the closing of the transaction. She is also adept with IRS Code 1031 tax-deferred exchanges and compliance with its requisite time-lines. Ms. Jones represents borrowers and lenders in multi-million dollar financing secured by real property and business assets including negotiation of the terms of loan commitments and loan closing documents and compliance with on-going lender requirements.
As legal counsel for new or existing businesses, Ms. Jones advises clients on general business matters, intellectual property (trademark and copyright), commercial transactions and compliance matters. She has prepared and amended confidentiality agreements, option agreements, employment and separation agreements, employee handbooks and procedures, UCC-compliant forms (including, purchase order, acknowledgment of order and standard terms and conditions), and other general business documents.
Ms. Jones successfully represented a company with securing multiple layers of financing by reviewing, negotiating and consulting on the terms of credit agreements for 2 mezzanine financing lenders which led to the closing of a $140 million line of credit and several bridge loans; managed the review and reporting of all business and real estate due diligence items; created best practices, forms and reports to meet the lender’s requirements.
